October 11, 1:00 p.m. EDT - Government Contractor Labor and Employment Developments: Key Executive Orders, Rules and Initiatives Federal government contractors are required to comply with a number of labor and employment laws, some of which have no counterpart in the commercial world. Through issuance of Executive Orders and implementing regulations as well as other initiatives that impact a contractor's HR organization, contractors have had to adjust and make changes to their HR policies and procedures in order to remain compliant and eligible to receive government contracts. This webinar focuses on a number of key issues aside from the recent Fair Pay and Safe Workplace rules/executive order which are the topic if a separate Federal Publications Seminars webcast. This webinar will: (1) provide an overview of why federal contractors have been receiving attention in the form of Executive Orders and implementing rules as well as initiatives that have HR implications; (2) address several key Executive Orders and their implementation, including Establishing Paid Sick Leave for Federal Contractors, Nondisplacement of Qualified Workers Under Service Contracts, Updating and Modernizing Overtime Regulations, Establishing a Minimum Wage for Contractors, and Strengthening Protections Against Trafficking in Persons in Federal Contracts; and (3) explain the HR aspects of other important initiatives and rules, including the recent National Industrial Security Program Operating Manual (NISPOM) change that requires contractors to establish and maintain a program to detect, deter and mitigate insider threats by November 30, 2016, and a proposed FAR rule that seeks to ensure that employees are not restricted from lawfully reporting fraud, waste, or abuse to federal authorities. Contractor M&A - Assessing Transactions Involving Companies with Sensitive Customers
June 6, 1:00-2:00 p.m. EDT - Morrison & Foerster's Rick Vacura and Charles Capito will provide participants a synopsis of the issues arising in the context of mergers and acquisitions of government contractors with security clearances or with access to export controlled information. The presentation will cover briefly the basics of government contracts due diligence, including novation, small business issues, and compliance. Rick and Charles will focus, however, on the nuanced and potentially delicate questions arising when acquiring companies with sensitive government customers. These are especially important questions when the acquiring party is foreign or is under foreign ownership or control. Parties to such transactions will understand how these factors can affect the deal timetable, and the parties' expectations concerning the viability of the transaction and risks posed by the government's potential efforts to mitigate the acquirer's involvement in the U.S. business. Business Systems Health Check
October 3, 12:00 p.m. EDT - Is your business system architecture and technology drowning your management team? Does your accounting team struggle just to give your PMs basic performance feedback? In fact, is your system giving you information at all, or just mounds of data? Today's business systems are built on a foundation of policies, implemented by procedures, followed by consistent practice to move data in processes from source transaction to a client bill and a management report. When DCAA examines a business system, they look at the various aspects of the system in exactly that order: 1. Policies (for compliance with FAR Part 31 and CAS, if applicable) 2. Procedures (for compliance with the company's stated policies) 3. Practices (to ensure the policies and procedures are actually being followed) 4. Processes and Tools (to ensure the first three things will result in reliable, repeatable results and produce the outcomes contemplated by the policies) The tools of the 80s and 90s were somewhat rigid in both architecture and process design and it was often necessary to wrap the business around the tool to make things work. Today's tools are much more flexible and let us to wrap the tools around the business without changing what we do and how we do it. Even more important, they can give us information - filtered, reduced, and in context - to show us clearly and concisely where we are, where we've been and where we're headed.
