    David S. Black is co-chair of the National Government Contracts Practice. He practices in the area of government contracts counseling and dispute resolution. His practice includes representing contractors in protests, claims under the Contract Disputes Act, responding to government investigations and audits, False Claims Act investigations and litigation, terminations for default and convenience, prime-subcontractor disputes, compliance programs, and counseling on a variety of contract administration and procurement issues.

    After law school, he served as judicial clerk to Judge Larry G. Elder of the Court of Appeals of Virginia in Richmond.

  • Brad Brooker
    Partner, Holland & Knight
    Brad Brooker is a partner in Holland & Knight's Washington, D.C., office, where he is a member of the firm's Public Policy & Regulation Group and National Security & Defense Industry Group. Mr. Brooker focuses his practice on matters related to data privacy, technology and national security.

    Mr. Brooker advises clients on the full range of domestic, international and cross-border cybersecurity and data privacy issues, including those involving artificial intelligence (AI) and emerging technologies. He also provides strategic counsel on national security issues, including engaging with the defense and national security community, as well as offering guidance on transactions reviewed by the Committee on Foreign Investment in the United States (CFIUS) and on supply chain matters.

    Mr. Brooker's background and experience also allows him to assist clients with crisis management and strategic responses, including navigating congressional oversight and investigations.

    Prior to joining Holland & Knight, Mr. Brooker served as general counsel for the FBI and, as deputy general counsel, led the National Security and Cyber Law Branch. At the FBI, Mr. Brooker led and managed a team of several hundred high-performing attorneys and staff, providing legal advice and guidance to the FBI director and other senior leaders on complex and sensitive intelligence and law enforcement operations, cybersecurity law and policy, privacy, congressional oversight and compliance matters.

    Previously, he worked in the Office of the Director of National Intelligence (ODNI), where he served as the principal deputy general counsel and, for three years, acting general counsel. In these roles, Mr. Brooker coordinated legal and policy issues arising in the intelligence community and partnered closely with officials in the U.S. Department of Justice (DOJ), U.S. Department of Defense (DOD), U.S. Department of the Treasury, U.S. Department of Commerce and U.S. Department of Homeland Security. He also provided practical legal advice to the director of national intelligence and other national security senior leaders on law, policy, politics and communications strategy.
    Mr. Brooker served as a law clerk for the Honorable Reggie B. Walton of the U.S. District Court for the District of Columbia and the Honorable Eric T. Washington of the District of Columbia Court of Appeals.

    While in law school, Mr. Brooker served as executive editor of the American University Law Review.

  • Marissa Serafino

    Marissa Serafino is an attorney and policy professional in Holland & Knight's Washington, D.C., office and member of the firm's Public Policy & Regulation Group. Ms. Serafino helps clients navigate increasingly complex regulatory landscapes and engage with the U.S. Congress, executive branch and independent agencies on technology issues across industries. Clients rely on Ms. Serafino for strategic counsel on legal and policy matters and investigations impacting their organizations.

    Ms. Serafino helps keep clients ahead of the curve in the dynamic legislative and regulatory environments of AI, privacy and data security. With a deep understanding of applicable laws and regulations, she helps develop and enhance risk-based compliance programs, including providing product development recommendations. She also negotiates transactional terms related to these issues on behalf of clients. Based on each client's business and goals, Ms. Serafino also identifies risks and opportunities in federal and state legislation, laws and rules to create and execute federal advocacy strategies. This includes drafting legislative language, advocating for reform and building coalition support.

    Ms. Serafino also counsels clients on regulatory issues related to cybersecurity, as well as cyber incidents, ensuring compliance with various international, federal and state requirements. Specifically, she represents clients in regulator inquiries, drafts cyber white papers, provides recommendations on cyber policy debates and drafts formal comments on proposed cyber rules. She also advises clients on issues involving critical infrastructure and supply chain security. Additionally, Ms. Serafino has experience representing defense sector clients in interactions with the U.S. Department of Justice (DOJ) and FBI, as well as conducting internal investigations and reviews of clients' insider threat and security clearance programs.

    Ms. Serafino is equally adept at assisting clients through government funding opportunities, such as those in the CHIPS and Science Act, from representation before Congress and the executive branch, to application and partnership strategy and legal parameters, to post-award compliance and advocacy. Ms. Serafino also provides high-level strategies for business growth and representation in the government marketplace (e.g., U.S. Department of Defense), including highlighting product criticality to government operations, identifying opportunities and navigating regulations to leverage advantages for clients.

    Prior to joining Holland & Knight, Ms. Serafino coordinated legislative efforts for Sen. Jeanne Shaheen (D-N.H.) on energy and environmental policy matters and appropriations issues.
