This is session 1 of 4 in the Ethics and Compliance - Government Contracts Webinar Series 2025
The first session in the series will introduce government contractors to the distinct ethical requirements of federal contracting, which demand more robust compliance measures beyond what is customary in the commercial sector. Topics will include the FAR and its role in shaping contractors’ ethics and compliance obligations; core components of an effective compliance program; the cost of compliance; and the risks and consequences of non-compliance.
Learning Objectives:
By the end of this session, attendees will be able to:
Understand the sections of the FAR that focus on ethics and compliance.
Define the six main areas of compliance.
Be familiar with the consequences of non-compliance.
Understand the key elements of a Corporate Compliance program.
These live webinars are eligible for both CLE and CPE credit.

Zachary D. Prince
Partner, Haynes Boone
Zach Prince’s practice encompasses all areas of government contract law. Zach counsels domestic and international clients on a wide range of issues, including compliance with federal and state regulations and statutes, bid protests, contract and subcontract drafting and negotiations, contract changes, claim preparation and disputes, cost allowability and cost accounting standards, price and cost reasonableness, export controls, government audits, subcontractor management and disputes, due diligence for mergers and acquisitions, cybersecurity, grants and cooperative agreements, and protecting intellectual property rights when contracting with the government. His clients range from the largest traditional defense contractors, to small businesses, to non-traditional government contractors including commercial technology companies.
Zach is regularly engaged to support acquisitions. He has conducted diligence relating to Federal, state, and international government contracts, export controls, and national security risks in support of a variety of transactions. Such acquisitions include technology companies, service-providers, electronics manufacturers, and aerospace companies. The size of these deals has ranged from tens to hundreds of millions of dollars and include public companies.

Daniel Ramish
Partner, Haynes Boone
Daniel Ramish’s practice encompasses government contracts, construction, and white collar matters. He works with a multitude of issues unique to doing business with the federal government, including subspecialties such as cost and pricing, data rights, and small business and socioeconomic programs. Daniel has a particular focus on contract claims and disputes with the federal government, and disputes between prime contractors and subcontractors. He has extensive experience with federal government construction disputes, including constructive changes, differing site conditions, Spearin design liability, and Eichleay unabsorbed overhead claims.
Daniel also represents contractors in white collar matters relating to government contracting, including the False Claims Act. He has worked on large and complex subcontracting transactions and disputes, including matters relating to construction and performance-based remediation subcontracts, on behalf of both prime contractors and subcontractors. He served as a team lead for the ABA Guide to Services Subcontract Terms and Conditions, which included overseeing the FAR Part 27 intellectual property clauses and corresponding DFARS clauses.

Tom Reynolds

Tom Reynolds is a Partner in HKA’s Government Contracts Practice in Washington, D.C. Tom is a forensic accountant and CPA with 20 years of experience helping government contractors navigate the complex government contracting compliance rules and regulations. Tom has provided government contract accounting, auditing and advisory support to government contractors across numerous industries, including aerospace and defense, manufacturing, healthcare, construction, engineering, and professional services. Tom has presented contractors’ positions and facilitated negotiations with contracting officers, DCAA, DCMA, and other regulatory bodies.
Tom has supported government contractors in connection with business systems compliance assessments, DCAA/DCMA audit support, False Claims Act disputes, merger and acquisition due diligence and post-merger integration, and indirect rate modelling and analysis. Tom deals extensively with critical government contracting regulations and requirements, including the FAR, DFARS, and CAS.

Her clients include public, private contractors and non-profit organizations of all sizes.
