UCAs: What Are They and How Do We Deal With Them?
When performing Government contracts where contract modifications/changes become necessary, contractors and contracting officers don't necessarily agree on the value of those modifications right away. Since the Changes clause provides that the contractor is required to proceed with the new work, oftentimes the contracting officer will direct the contractor to perform - even if new pricing has not yet been worked out. This creates a UCA ("Undefinitized Contract Action"). Additionally, the Government can -- under certain circumstances -- award a letter contract requiring immediate start by a contractor without having finalized pricing. This is another type of UCA. This webinar will address common issues regarding UCAs and how to recognize them, deal with them, and avoid unnecessary risk and impact in performing UCAs. We will also examine actions contractors can take to deal with getting UCAs definitized and discuss the risk (and cost) of delayed definitization. Based on extensive practical experience, the webinar will provide guidance for contractors to successfully prepare for dealing with - and resolving -- UCAs in the U.S. government procurement marketplace. Learning Objectives: By the end of the webinar, attendees will be able to understand: what an Undefinitized Contract Action is; the rules underlying how they are supposed to work; how UCAs tend to work in real life; and the negative impacts of delayed definitization. We will also identify strategies designed to reduce risk and enhance success; and become familiar with the rules that can be used proactively to resolve UCAs.
