With today’s ever-changing regulatory landscape affecting Government contractors, understanding and managing flowdowns presents significant challenges, with consequences that reach beyond subcontract compliance to every part of a contractor’s business. From negotiating clauses with the Government to identifying mandatory (versus non-mandatory) flowdowns; to managing subcontractor implementation of flowdowns and enforcement, managing flowdowns can literally make or break a project. Accordingly, understanding flowdowns is of paramount importance to effective and successful subcontract administration. In this course, attendees will learn the difference between mandatory and non-mandatory flowdowns, when (and how) to negotiate flowdowns with the Government, and how to prioritize the clauses that are flowed down to subcontractors. Attendees will learn to use a flowdown matrix efficiently, and will learn how to educate themselves on the potential impact of flowdowns on their particular projects. They will learn the importance of involving functional experts such as Contracts, Project Management, Finance, Quality, Operations, Human Resources, and legal before and during the negotiation stage to minimize the risk of the inclusion of unnecessarily burdensome flowdowns, and to ensure that they understand the impact of the flowdowns that are included in the prime contract. Attendees will learn how to weigh the pros and cons of including non-mandatory flowdowns in subcontracts, and learn their potential impact on various types of subcontractors (e.g. small businesses, goods vs. services, etc.). Attendees will learn methods for ensuring subcontracts implementation of, and compliance with, flowdowns, and what to do with non-compliant subcontractors. Attendees will also learn the importance of on-going flowdown training to ensure they are up-to-date on the latest requirements.
