Security has become an essential element of virtually every Government contract. Contracts as diverse as facility maintenance, major systems acquisitions, IT services and research and development, are all likely to have security requirements. This concentrated one-day course addresses the contracting requirements and procedures applicable to classified contracting. We will cover original and derivative classification authority, Executive Orders affecting classified contracts and the impact of the National Industrial Security Program Operating Manual (NISPOM) on Government contracts and subcontracts. We will also cover contractor security requirements under contracts performed overseas, the DD254 Form, facility security clearances and contractor responsibilities for personnel security clearances. This class will NOT address how contractors may obtain a personal or facility security clearance, but instead focuses on the contractual requirements and procedures applicable to classified contracting.

Dave Freeman started his professional career as a Regular Army officer, serving as an electrical engineer and systems engineer in the U.S. Army Signal Corps. Mr. Freeman was selected for an Army scholarship to law school, adding a law degree to his engineering degree from the University of Michigan. After transferring to the Army’s Judge Advocate General’s Corps, he served several more years on active duty, and his duties included work as a regulatory law counsel, a criminal prosecutor, a Government contracts attorney and a Deputy Staff Judge Advocate (where he supervised from eight to ten attorneys).
In his last active duty assignment, Mr. Freeman was a Professor of Law and Vice Chair of the Contract and Fiscal Law Department at the Army JAG School. He is now a retired Lieutenant Colonel in the Army Reserve, and in his last drill position as a Reservist he was a Deputy General Counsel for the Defense Security Cooperation Agency.
Mr. Freeman left active duty in 1999 to join Litton Industries as a Division Counsel. Following Litton’s takeover by Northrop Grumman, Mr. Freeman served as programs counsel for Boeing Satellite Systems before being recruited to be a Vice President of Contracts and an Assistant General Counsel for Orbital Sciences Corporation. As a Senior Counsel/Assistant General Counsel for DynCorp International, first alone, and then with his contracts attorney team, Mr. Freeman fielded all of the contract law challenges to DI from September 2005 until March 2010, when he became the Vice President of GPSS Contracts.
