BATTLESPACE AND CONTINGENCY CONTRACTING is a new course that has been developed for International Contracting Week: Export Controls, FCPA, FMS.
As a result of U.S. and allied engagement in Iraq and Afghanistan, and due to continued U.S. reliance on contractors for support in counterterrorism, reconstruction, "smart power," and humanitarian relief efforts throughout the world, government contractors working abroad need to know the mechanics and best practices of “battlespace” and contingency contracting. This seminar is designed to discuss not only fundamentals in contingency operations contracting, but to address the latest issues in this area so that contractors can understand and manage the risks associated with this evolving and important area.
This half-day course will address:
- Unique contract requirements in contingency contracting
- USG audit and oversight issues
- Special considerations when contracting or subcontracting for private security
- International regulatory compliance considerations (e.g., export controls, anti-corruption rules)
- Accountability rules pertaining to contractors and their employees’ conduct in support of these contracts

The Course Faculty
Andrew D. Irwin
Andrew Irwin is a Partner in the Washington and Century City offices of Steptoe & Johnson LLP, where he is a member of the International and Litigation Departments. He practices at the intersection of international regulatory law and government procurement, focusing primarily on corporate investigations and related compliance counseling. He has a particular background in laws and regulations that relate to export controls/sanctions, foreign corruption, and government contracting fraud. He also has considerable experience in general corporate ethics/compliance counseling, as well as ethics/compliance program administration and development. He has conducted investigations in Europe, Asia, and the Middle East (including on the ground in Iraq). Prior to coming to Steptoe, Mr. Irwin spent several years as inside counsel for one of the world’s largest engineering and construction companies.
Mr. Irwin has considerable experience counseling clients in a number of industries regarding their compliance with the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). Much of his practice relates to enforcement matters, including voluntary disclosures and related internal investigations. He also advises clients regarding developing policies and procedures to prevent and detect violations and preparing license, classification and commodity jurisdiction requests. Mr. Irwin has also counseled clients regarding all major US sanctions regimes administered by the Office of Foreign Assets Control (OFAC) and conducted investigations regarding potential sanctions violations. In addition, he has helped clients address a wide-range of issues related to working in Iraq.
Mr. Irwin also has extensive Foreign Corrupt Practices Act (FCPA) experience. He has investigated potential FCPA violations in numerous locales, including having conducted dozens of witness interviews. In addition, he has conducted FCPA due diligence and audits of sales agents, as well as prepared corporate policies and training materials regarding FCPA compliance. He frequently draws upon his background in public procurement in such matters.
In addition, as inside counsel to a major government and international contractor, Mr. Irwin advised senior management, business development, and procurement personnel regarding a full range of contract formation and administration issues involving numerous significant programs for the US Departments of Defense and Energy, as well as the US Agency for International Development. In addition, Mr. Irwin supervised bid protest litigation and was responsible for a number of Freedom of Information Act-related matters.
Mr. Irwin is on the Advisory Board for West’s Government Contractor and a frequent contributor to International Government Contractor. He was a speaker on export controls and FCPA topics at the 2007 Government Contracts Year in Review Conference and spoke at the 2008 conference on FCPA and U.S. sanctions issues. He is a co-editor, with Ed Krauland and Jack Hayes, of Thomson West’s International Traffic in Arms Regulations Handbook.
Mr. Irwin received his undergraduate degree from Princeton and his law degree from The GeorgeWashington University. He has also studied at The University of Edinburgh.
Michael Navarre
Mike Navarre is special counsel in the Washington D.C. office of Steptoe & Johnson LLP, where his practice focuses on government contracts and complex civil litigation. Mike represents clients in bid protests before the Government Accountability Office and Court of Federal Claims, in claims before the Armed Forces Board of Contract Appeals, and numerous other courts as well as counsels clients regarding contract administration issues. As a Vice Chair of the Battle Space and Contingency Procurements Committee of the ABA Section of Public Contract Law, Mike keeps stays at the forefront of the latest developments with regard to criminal, military, and international law issues relating to government contractor employees accompanying US armed forces overseas. He has also spoken about the investigation and prosecution of misconduct by civilians in contingency operations areas at continuing legal education courses and symposiums and is a frequent commentator on the subject for the New York Times, US News and World Report and others. Prior to joining Steptoe, Mike served as a Judge Advocate in the US Navy Judge Advocate General’s Corps and has served in the Navy for nine years (active and reserves).
